To help assure the continued success of REMLogics, business partners must avoid situations which could create a conflict of interest or tend to lessen the confidence of current or potential customers or suppliers in REMLogics. The following guidelines describe possible conflict of interest situations, REMLogics’s position regarding marketing practices and maintaining confidentiality and general behavior required of business partners in the marketplace. REMLogics business partners must maintain the highest standards of integrity and conduct.
The guidelines provided in this document are intended to be illustrative only and are not to be regarded as an exhaustive statement of undesirable or impermissible conduct. Each business partner has the responsibility to be aware of and comply with these guidelines, including business partners’ agents and contractors. In a situation of noncompliance, business partner will not be excused because of lack of knowledge of this document. When necessary, the appropriate disciplinary or corrective action will be taken, up to and including termination of the Partnership Agreement.
I. CONFLICTS OF INTEREST
A. Business Partners must not have outside financial interests that conflict with their responsibilities under the Partnership Agreement.
Business partner must not have direct or indirect financial interests that conflict or appear to conflict with the business partner's duties and responsibilities to REMLogics or its Affiliate(s) under any partner agreement between the parties. If business partner, or business partner’s employees, agents or subcontractors has a financial interest in any entity that does business with REMLogics or its Affiliate(s), or is a competitor of REMLogics or its Affiliate(s), then a conflict of interest may exist.
B. Business Partners must report potential conflicts of interest to their designated REMLogics Partner Manager immediately.
Prior to signing an agreement with REMLogics, it is the responsibility of the business partner to notify his or her designated REMLogics partner manager of any potential conflicts. The REMLogics partner manager must determine if a conflict or the appearance of a conflict exists. If such a conflict exists, REMLogics’s management and the business partner must resolve the conflict.
II. MARKETING PRACTICES
A. Business Partners must not misrepresent products and services available from or provided by REMLogics or its Affiliate(s) in any manner.
Business partner should never purposefully lie, misguide, or misinform an audience about products and services available from or provided by REMLogics or its Affiliate(s).
B. Business Partners must treat all customers and suppliers equitably.
Business partnershould treat all customers equitably. Preferential treatment, such as offering unauthorized services or contract terms, is not allowed. REMLogics and its Affiliate(s), of course, will respond to competition in bidding for business. However, modifications to standard terms and offerings for products or services available from or provided by REMLogics or its Affiliates must have prior approval from REMLogics management. It is not appropriate to seek reciprocity by doing business with a company on the condition that it agrees to use products or services available from or provided by REMLogics or its Affiliates.
C. Business Partners must market products and services available from or provided by REMLogics or its Affiliate(s) using fair and honest techniques.
Products and services available from REMLogics or its Affiliate(s) must be sold on their own merits, not by disparaging, directly or indirectly, competitors and their products or services. False or misleading statements are improper. Comparisons should not be made that unfairly cast the competitor in a bad light -- the advantages of REMLogics or Affiliate(s) should be stressed, not the disadvantages of competitors.
Generally, marketing efforts should not continue if the customer has placed a confirmed order with a competitor. However, situations involving unusual circumstances should be discussed with REMLogics management.
Business partner should never give gifts or money to an executive, official or employee of any business if it could be construed as having any connection with REMLogics or its Affiliate(s) business relationship. Gifts of nominal value, provided they cannot be construed as seeking special favor, may be permitted with REMLogics management’s approval.
III. CONFIDENTIAL INFORMATION
A. Business Partners must safeguard sensitive and confidential REMLogics information.
Business partner should not discuss business affairs of REMLogics or its Affiliate(s) with anyone outside REMLogics except when required in the normal course of business. Information concerning the activities or operations of REMLogics or its Affiliate(s) customers or suppliers must also be treated as confidential. Business partner should not discuss project matters with anyone other than individuals specifically designated by the customer or supplier.
Business partner is responsible for the security of confidential information and must exercise extreme care to safeguard it in order to protect REMLogics and its Affiliate(s), its customers, and suppliers.
Business partner must also abide by the non-disclosure agreement signed with REMLogics.
B. REMLogics Business Partners must not give the impression of restraint of trade practices.
Subjects such as the pricing of REMLogics or its Affiliate(s) products and services, the names of REMLogics or its Affiliate(s) customers, and the areas in which REMLogics or Affiliate(s) products and services are sold should never be discussed with a director, officer or business partner of a competitor of REMLogics or its Affiliate(s). Such a discussion could give the impression of an illegal agreement in restraint of trade.
IV. GENERAL WORK PLACE BEHAVIOR
A. Business Partners must avoid any conduct damaging to REMLogics.
A business partner must not directly or indirectly engage in conduct that is, or appears to be, disruptive, competitive or damaging to REMLogics or its Affiliate(s) including attempted direct or indirect engagement with customers of REMLogics or its Affiliate(s) for the provision of services. Business partner must not give, offer or promise anything of value on behalf of REMLogics or its Affiliate(s) without going through appropriate supervisory channels.
B. Business Partners should exercise every effort to follow REMLogics management’s instructions, policies, procedures and guidelines.
C. Business Partners must abide by the policies, procedures and guidelines of their customers’ while at the customers’ place of business.
While working at a customer's place of business, Business partner must abide by all policies, procedures and guidelines governing the customer's employees, and use discretion in handling any personal matters that might arise.
D. Business Partners must avoid all conduct which might be viewed as discrimination.
Conduct which intentionally or unintentionally implies that conditions of employment, promotions, or benefits are based on race, color, religion, disability, sex, age, veteran status or national origin will not be tolerated.
E. Business Partners must avoid all conduct which might be viewed as sexual harassment.
F. Business Partners must avoid offensive conduct.
Provoking or starting fights involving physical contact, the use of profanity or abusive language, or any other behavior deemed offensive or undesirable are prohibited.
G. Business Partners may not attempt illegal or unauthorized activities while conducting REMLogics business.
Attempting to perform illegal or unauthorized activities (successful or unsuccessful, malicious or otherwise), while conducting business is prohibited. Such actions include the use of computer resources, both locally and remotely.
H. Business Partners must avoid conduct that could be interpreted as theft or misuse of property.
Theft or misuse of property belonging to REMLogics or its Affiliate(s) or from its employees, customers or supplier is prohibited. Specific authorization by a member of the appropriate management staff is required to remove any software, or office or computer equipment, from REMLogics or its Affiliate(s) or from one of its customers or suppliers.
I. Business Partners may not accept gifts that may be intended to influence decisions and conduct of REMLogics or its Affiliate(s) business.
J. Business Partners may not falsify REMLogics records.
Falsification of any REMLogics record or report is prohibited.
K. Business Partners must take care to discharge their financial obligations promptly.
Business partner is expected to discharge his or her financial obligations promptly. A business partner having difficulty in meeting financial obligations should notify the designated REMLogics or its Affiliate(s) partner manager.
REMLogics reserves the right to update this policy at any time. It is the responsibility of the Partner to review the Policy for updates or changes.
